Dominion Tech Consulting provides technology consulting services including, but not limited to, IT strategy and advisory, cloud architecture, digital transformation, website development, software development, and data and analytics. The specific scope, deliverables, timeline, and fees for any engagement will be set forth in a separate written agreement or statement of work ("SOW") signed by both parties.
2. Use of Our Website
You agree to use our website only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use of the site. You must not:
- Use the site in any way that violates applicable local, national, or international laws or regulations
- Transmit any unsolicited or unauthorized advertising or promotional material
- Attempt to gain unauthorized access to any part of the site or its related systems
- Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the site
3. Intellectual Property

Upon full payment for a project, any custom deliverables created specifically for a client under a signed SOW will be assigned to the client as outlined in that agreement. We retain the right to use general methodologies, frameworks, and know-how developed during engagements.
4. Confidentiality
Both parties agree to keep confidential any non-public information disclosed during an engagement that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
5. Payment Terms
Payment terms for consulting engagements will be specified in the applicable SOW. Unless otherwise agreed in writing:
- Invoices are due within 30 days of the invoice date
- Late payments may incur interest at 1.5% per month
- We reserve the right to suspend services for accounts more than 30 days past due
6. Disclaimer of Warranties
Our website is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the site will be uninterrupted, error-free, or free of viruses or other harmful components.
Consulting services are performed with reasonable professional skill and care. However, we do not guarantee specific outcomes or results from any engagement.
7. Limitation of Liability
To the fullest extent permitted by law, Dominion Tech Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our website or services, even if we have been advised of the possibility of such damages. Our total liability for any claim arising from a consulting engagement shall not exceed the fees paid by the client in the three months preceding the claim.
8. Indemnification
You agree to indemnify, defend, and hold harmless Dominion Tech Consulting and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of our website, your violation of these Terms, or your violation of any rights of a third party.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in New York, New York.
